3. Partner Organization
“Partner Organization” or “Client” refers to the third-party universities or corporate entities with whom we have a valid contractual agreement /work order/purchase order to provide training services to candidates or employees.
GENERAL PROVISONS
The programs, services, content and materials on this Site are provided “As Is” and “as available”, without any warranties of any kind, either express or implied including but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Company does not warrant that the Site or its functions will be uninterrupted or error-free, that defects will be corrected, or that this Site or the server that makes it available are free of viruses or other harmful components. Neither We nor any third parties provide any warranty or guarantee as to the accuracy, timelines, performance, completeness or suitability of the information and materials found or offered on this Site for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors. We expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

Unext shall not be deemed in breach of these Terms for any failure or delay in performance caused by reasons beyond its reasonable control, including but not limited to acts of God, war, fire, riot, terrorism, pandemic, epidemic, earthquake, actions of state, central, or local government authorities, or any other force majeure event.
INTELLECTUAL PROPERTY
Any and all Intellectual Property (“IP”) rights associated with the Site and the Services are the sole property of Unext, its affiliates or third-party Clients. All customised, icons, and marks that appear on the Site are trademarks (whether registered or not), service marks or trade name (“Marks”) of Unext, its affiliates or other entities that have granted Unext the right and licence to use such Marks. And such marks may not be used or reproduced or interfered with, by You, in any manner without the express written consent of Unext. Except as otherwise expressly authorised, You may not copy, reproduce, modify, amend, lease, loan, sell and/or create derivative works from, upload, transmit, and/or distribute the Intellectual Property of the Site in any way without Unext’s prior written consent or that of an appropriate third party.
Unext and its licensors retain all ownership and intellectual property rights to the programs and Site materials (“Site Materials”). You may be granted a limited, non-exclusive, non-transferable license to access and use the materials solely for your personal, non-commercial, educational purpose, on case to case basis and upon request. You shall not disclose, reproduce, sell, or distribute to any third party, any Site Materials. Reproduction or distribution or sharing of Site content is strictly prohibited. EXCLUSION OF INDIRECT DAMAGES AND LIMITATION OF LIABILITY
Unext, its affiliates, directors, or representatives shall not be responsible or liable to You or any other person for any incidental, direct, indirect, exemplary, punitive, special or consequential damages of any character (including loss of business, claims for defamation, errors, loss of profits, or loss of data) arising out of or in connection with the content provided on Site and the Services provided by Unext. ENTERPRISE SOLUTIONS
This section governs the provision of domain-specific, functional, and leadership training programs or talent fulfilment solutions directly to corporate entities.
The terms and conditions governing Enterprise Solutions (B2B Programs) are defined exclusively by the specific Master Service Agreement (MSA), Work Order, or Purchase Order executed between Unext Learning Private Limited and the Partner Organization. Individual users or employees of the Partner Organization accessing the Service under an Enterprise Solution mandate that are governed by the terms of that specific corporate contract, in addition to the non-commercial use provisions of these Terms.
PROHIBITED CONDUCT AND INDEMNIFICATION
You agree not to use the Site and Services of Unext to cause harm to others or disrupt the services in any manner whatsoever. This includes, but is not limited to: transferring access credentials, sharing or modifying content, posting inappropriate/abusive content, gaining unauthorized access, or using any automated tools (bots, data-mining) to interact with this Site. You agree to indemnify, defend and hold Unext, its affiliates, shareholders, supplier, partner, licensor and their respective officers, directors, employee, consultants, representatives harmless from and against any and all claims, liability, damages, losses, costs and expenses (including attorneys’ fees) arising from (a) Your use of the Services and/or Site (b) your violation of these Terms, or (c) Your violation of any rights of a third-party or (e) third party claims who rely on Your representations to them based on the information made available through our Services / Site. Your indemnification obligation will survive the termination of these Terms and Your use of the Services. Unext reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by You, and in such case, You agree to cooperate with Unext’s defence of such claim. In such a case, Unext or one of the Unext’s representatives will provide you a notice of such claim, action or legal suit.
RESTRICTIONS ON THE USE OF SITE
You are prohibited from creating a link to this Site from another website or document and producing any mirrored websites without Unext’s prior written consent. Unauthorized use of this Site may give rise to a claim for damages and/ or be a criminal offense.
Further, You may not use this Site for the following:
- Transfer to a third party, either temporarily or permanently, any rights to access or use the Services;

GOVERNING LAW
These Terms and any claim or dispute arising out of, relating to or in connection with this Site whether in contract, tort or otherwise, shall be governed by and construed in accordance with the laws of India. The courts at Bengaluru shall have exclusive jurisdiction.
